Terms and Conditions

Article 1: Definitions.

In these general conditions the following definitions apply:

Provider: 24around, part of 24nannies, located at Ridder van Cuykstraat, Boxtel, registered with the Chamber of Commerce under number 61277401.

Client: The natural or legal person using the services of 24around.

Candidate: The person selected and proposed by 24around for a position with the Client.

Services: All services offered by 24around, including recruitment and selection of staff for various sectors.

Agreement: The agreement between Client and Contractor for the provision of services.

Written: In these conditions written also means electronic communication, such as e-mail, provided that the authenticity of the sender can be sufficiently established.

Article 2: Applicability

2.1 These General Terms and Conditions shall apply to all offers, agreements and services of 24around, unless otherwise agreed in writing.

2.2 Deviations from these Terms and Conditions shall only be valid if agreed in writing between Contractor and Client.

2.3 The Terms and Conditions shall also apply to all future legal relationships between Contractor and Client, unless otherwise agreed.

Article 3: Offers and Formation of the Agreement

3.1 All quotations of 24around are non-binding and valid for 30 days unless otherwise stated.

3.2 The Agreement is concluded by written acceptance by the Client of the quotation or by the actual commencement of services by 24around.

3.3 24around reserves the right to refuse orders without giving reasons.

Article 4: Services

4.1 24around offers various recruitment and selection services for various sectors, including but not limited to:

Executive assistants

Personal assistants

Domestic staff

Office Managers

Other staff on request

4.2 The specific details of the services will be set out in the agreement between the Contractor and the Client.

4.3 24around shall use its best efforts to perform the services to the best of its knowledge and ability, in accordance with the agreements recorded in writing with the Client.

Article 5: Rates and Payments

5.1 The fees for 24around’s services are stated in the offer and/or agreement and are exclusive of VAT, unless otherwise stated.

5.2 Payment must be made within 14 days after date of invoice, unless otherwise agreed in writing.

5.3 In case of late payment, the Client shall be in default by operation of law and shall owe interest of 1% per month on the outstanding amount. In addition, all judicial and extrajudicial collection costs shall be borne by the Client.

5.4 24around reserves the right to index its fees annually. The client will be notified in writing of any rate changes at least 30 days in advance.

Article 6: Cancellation policy

6.1 Cancellation by the client must be in writing.

6.2 In case of cancellation within 14 days before the start of the service, the client shall owe 50% of the agreed amount.

6.3 In case of cancellation within 7 days before the commencement of the service, the client shall owe 100% of the agreed amount.

6.4 If 24around is unable to provide the services due to force majeure, it will endeavor to provide an alternative solution. In such cases 24around shall not be liable for any damages.

Article 7: Liability and Insurance

7.1 24around is an intermediary between client and employee. 24around has no employment relationship with any employee and therefore cannot be held liable for any acts or omissions of any employee or any damages resulting therefrom.

7.2 The liability of 24around is limited to the amount paid out by 24around’s liability insurance in the relevant case.

7.3 The Client is required to have corporate liability insurance (AVB) covering any damages caused by the Candidate.

7.4 24around shall not be liable for any indirect damages, including consequential damages, lost profits, lost savings, or damages due to business interruption.

7.5 24around is not responsible for any agreements or contract terms between Client and candidate/employee.

7.6 It is the responsibility of the Client and the employee to obtain liability and accident insurance. This also applies to all other insurance.

Article 8: Privacy and Confidentiality

8.1 24around processes personal data in accordance with the General Data Protection Regulation (GDPR).

8.2 Both parties are obliged to keep confidential all confidential information obtained under the Agreement.

8.3 24around will take appropriate technical and organizational measures to protect Personal Data of Client and Candidates from loss or unlawful processing.

Article 9: Complaint procedure

9.1 Complaints regarding the performance of the Agreement must be submitted to 24around in writing with reasons within 14 days of discovery.

9.2 24around will respond in writing within 14 days of receipt of the complaint. If a complaint requires a longer processing time, 24around will send a notice of receipt within 14 days and provide an indication of when the Client can expect a more detailed response.

9.3 If the complaint cannot be resolved by mutual agreement, a dispute shall arise which is subject to the dispute resolution procedure as described in Article 11.

Article 10: Amendments to the Terms and Conditions

10.1 24around reserves the right to amend these Terms and Conditions.

10.2 Amendments will be communicated to the Client in writing no later than 30 days prior to the effective date.

10.3 If the Client does not agree with the amended Terms and Conditions, it has the right to terminate the Agreement in writing within 14 days of receiving the amended Terms and Conditions.

Article 11: Applicable law and competent court

11.1. These general conditions and the assignment to which these general

recruitment conditions are subject to Dutch law.

11.2. Disputes arising from or in connection with the assignment to which these General Terms and Conditions apply, as well as disputes concerning these General Terms and Conditions, shall be brought before the District Court of ‘s-Hertogenbosch if they fall within the jurisdiction of the District Court.
